La cuestión prejudicial que resuelve la Sentencia TJUE de fecha 11 de julio de 2018 equipara la
subrogación del personal, establecida en los Convenios Colectivos como garantía de empleo
por cambio en el adjudicatario de una contrata, con la sucesión de empresas derivada de una
transmisión patrimonial a efectos de la responsabilidad en las deudas contraídas de naturaleza
salarial o por cotizaciones sociales no satisfechas.

La Sentencia parte del criterio consolidado en el TJUE, conforme al cual, en determinados
sectores, en los que la actividad descansa fundamentalmente en la mano de obra, un conjunto
de trabajadores que ejerce de forma duradera una actividad común puede constituir una
“entidad económica” a efectos de la Directiva 2001/23 C.E., cuando el nuevo empresario
continúe con la actividad y se haga cargo de una parte esencial del personal del anterior
contratista.

Esa incorporación de personal se considera como elemento decisorio para declarar la sucesión
de empresas en los términos de la responsabilidad solidaria establecida en la Directiva.

Lo que incorpora como novedoso la Sentencia del TJUE de 11 de julio de 2018 es el
reconocimiento de que opera tal obligación empresarial en los supuestos en los que el
Convenio del Sector de que se trate prevea la subrogación de personal.

Consideramos que no se ha tenido en cuenta en la Sentencia del TJUE que cuando se pacta en
Convenio la subrogación de personal por sucesión de contratas en la adjudicación de un
servicio por parte de un tercero, el objeto de tal compromiso es la garantía de empleo para los
trabajadores afectados y no la voluntaria aceptación de la contratación de los empleados del
anterior contratista que justificaría la aplicación del criterio de “sucesión de plantillas”, por lo
que tal cuestión no puede entenderse asimilada a la sucesión de empresas establecida
legalmente, ya que en ese caso se trata de la continuidad en puestos de trabajo dentro del
compromiso de garantía de empleo pactado con la representación legal de los trabajadores en
la negociación colectiva del sector, no del reconocimiento de la existencia de sucesión de
empresa en los términos de la Directiva 2001/23 C.E.

Die durch das EuGH-Urteil vom 11.07.2018 verkündete Vorabentscheidung setzt die Haftung des Mitarbeiter aufnehmenden Unternehmens, welcher in den spanischen Tarifverträgen als bloße Beschäftigungsgarantie bei einem Wechsel des Arbeitgebers verankert ist, mit der durch einen Vermögensübergang entstehenden Unternehmensnachfolge zum Zwecke der Haftung für entstandene Schulden für nicht gezahlte Löhne oder Sozialversicherungsbeiträge gleich.

Das Urteil stützt sich auf das konsolidierte Kriterium des EuGH, wonach in bestimmten Branchen, in denen die Tätigkeit im Wesentlichen von der Belegschaft abhängt, eine Gruppe von Arbeitnehmern, die auf Dauer eine gemeinsame Tätigkeit ausüben, eine "wirtschaftliche Einheit" im Sinne der
Richtlinie 2001/23 C.E. bilden kann, wenn der neue Arbeitgeber die Tätigkeit fortsetzt und einen wesentlichen Teil der Belegschaft des bisherigen Auftragnehmers übernimmt.

Diese Einbindung des Personals wird als entscheidendes Element für die Erklärung der Unternehmensnachfolge im Sinne der in der Richtlinie festgelegten gesamtschuldnerischen Haftung angesehen.

Was das EuGH-Urteil vom 11. Juli 2018 als Novum beinhaltet, ist die Erkenntnis, dass die unternehmerische Verpflichtung in solchen Sachverhalten besteht, in denen der Tarifvertrag des betreffenden Sektors einen Personalübergang vorsieht.

AFELIN ist der Auffassung, dass das EuGH-Urteil nicht berücksichtigt hat, dass der Zweck eines Tarifvertrages, der einen Personalübergang durch Vertragsnachfolge bei der Vergabe einer Dienstleistung an einen Dritten vorsieht, die Beschäftigungsgarantie für die betroffenen
Arbeitnehmer darstellt und nicht die freiwillige Übernahme der Arbeitnehmer des vorherigen Auftragnehmers, was die Anwendung des Kriteriums der "Betriebsnachfolge" rechtfertigen würde. Daher kann diese Frage nicht mit der gesetzlich geregelten Unternehmensnachfolge gleichgesetzt werden, da es in diesem Fall um die Kontinuität der Arbeitsplätze im Rahmen der mit der
gesetzlichen Vertretung der Arbeitnehmer in den Tarifverhandlungen des Sektors vereinbarten Verpflichtung zur Beschäftigungsgarantie geht und nicht und um die Anerkennung der Existenz einer Unternehmensnachfolge im Sinne der Richtlinie 2001/23 C. E.

The preliminary ruling delivered by the ECJ in its judgment of 11 July 2018 equates the liability of the company taking on employees, which is enshrined in Spanish collective agreements as a mere guarantee of employment in the event of a change of employer, with the succession of the company resulting from a transfer of assets for the purposes of liability for debts incurred for unpaid wages or social security contributions.

The judgment is based on the ECJ's consolidated criterion that, in certain industries where the activity is essentially dependent on the workforce, a group of employees who carry out a joint activity on a permanent basis constitutes an "economic unit" within the meaning of the Directive 2001/23 C.E. if the new employer continues the activity and takes over a substantial part of the workforce of the previous contractor.

This involvement of the staff is considered to be a decisive element for the declaration of succession within the meaning of the joint and several liability laid down in the Directive.

What the ECJ ruling of 11 July 2018 includes as a novelty is the recognition that the entrepreneurial obligation exists in those situations where the collective agreement of the sector concerned provides for a transfer of staff.

AFELIN considers that the ECJ ruling failed to take into account that the purpose of a collective agreement that provides for a transfer of staff through succession of contracts when a service is contracted out to a third party is to guarantee employment for the affected
employees and not the voluntary transfer of the employees of the previous contractor, which would justify the application of the criterion of "succession to the undertaking". Therefore, this issue cannot be equated with statutory business succession, since in this case it is a question of continuity of employment within the framework of the collective agreements concluded with the
